These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and BCMW Holdings, LLC, an Oklahoma limited liability company doing business as GBP Autopilot (“GBP Autopilot,” “we,” “us,” or “our”). These Terms govern your access to and use of the website located at gbpautopilot.com, our software platform, our application programming interfaces, and all related services we provide (collectively, the “Services”).
By submitting a free audit request, connecting your Google Account through our authorization flow, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Important Notice About Current Service Status
As of the Effective Date, GBP Autopilot operates only two services: (a) the free Audit Report described in Section 2.1, and (b) the Google Account authorization flow described in Section 2.2. The paid Launch Tier and Manage Tier subscription services described throughout these Terms are planned but have not yet launched.
As of the Effective Date:
- No Customer is being charged any fee
- No Google Business Profile is being managed by GBP Autopilot on any Customer's behalf
- No reviews, posts, photos, or listing fields are being modified by GBP Autopilot on any Customer's behalf
- No artificial intelligence content is being published by GBP Autopilot to any live Google Business Profile
Provisions of these Terms that govern the Launch Tier, the Manage Tier, billing, the customer dashboard, multi-location management, automated review responses, automated posting, and listing change reversion are described here for transparency but take effect with respect to your account only when those services are made available to your account and you affirmatively enroll. Such provisions are clearly labeled throughout these Terms as “Future Services.”
IMPORTANT — DISPUTE RESOLUTION: Section 21 contains a binding arbitration clause and class action waiver that affects your legal rights. You have the right to opt out of arbitration within 30 days of first accepting these Terms.
1. Definitions
For purposes of these Terms:
- “AI Content” means text, response drafts, post copy, suggestions, scores, recommendations, and other output generated by artificial intelligence models in connection with the Services.
- “Audit Report” means the free, AI-generated Google Business Profile analysis PDF described in Section 2.1.
- “Customer Content” means information you provide to us or authorize us to access, including business information, knowledge base entries, brand voice guidelines, photos, and other materials you submit through the Services.
- “Future Services” means service tiers, features, or functions described in these Terms that have not yet launched and that take effect with respect to your account only when made available to your account and affirmatively elected by you.
- “Google Account” means the Google account you authorize the Services to access through OAuth.
- “GBP” or “Listing” means the Google Business Profile (formerly Google My Business) associated with your business.
- “Manage Tier” means the future subscription service described in Section 2.3.
- “Launch Tier” means the future one-time service described in Section 2.3.
- “Subscription” means a paid recurring plan under the Manage Tier when that service becomes available.
2. Description of the Services
GBP Autopilot's overall product is structured into three tiers. Only the free Audit Report (Tier 1) and the Google Account authorization flow are currently available. The Launch Tier (Tier 2) and the Manage Tier (Tier 3) are planned but not yet launched.
2.1 Currently Available — Audit Report (Tier 1, Free)
The Audit Report is a free, one-time service available at gbpautopilot.com/audit. You submit a business name, city, category, optional website URL, and email address. We generate an AI-powered audit of the corresponding Google Business Profile based on publicly available information and deliver it to your email as a PDF.
The Audit Report:
- Does not require you to create an account, sign in, or provide payment information
- Uses publicly available information sourced from the Google Places API, Serper.dev search results, and your business's public website (if a URL is provided) — no Google Account access is required to generate the Audit Report
- Is generated using artificial intelligence models operated by Anthropic, PBC, and is subject to the AI Content disclaimers in Section 5
- Is provided for informational purposes only and does not constitute legal, financial, marketing, professional, or business advice
Follow-up Communications. After delivering your Audit Report, we may send you up to three (3) follow-up emails over a fourteen (14) day period describing GBP Autopilot's planned Manage Tier and surfacing additional findings from your Audit Report. Each follow-up email contains an unsubscribe link. You may opt out at any time, and we will not include you in further marketing communications related to that Audit Report. We comply with the CAN-SPAM Act and similar applicable email laws.
You are solely responsible for evaluating whether any recommendation in the Audit Report is appropriate for your business before acting on it. See Section 5.1 for AI Content disclaimers and Section 11 for the absence of any guarantee of business outcomes.
2.2 Currently Available — Google Account Authorization (Account Connection)
After receiving your Audit Report (or at other points in the user experience), you may be invited to connect your Google Account to GBP Autopilot through a “Connect Your Google Business Profile” button or similar mechanism. Connecting your Google Account initiates a Google OAuth 2.0 authorization flow requesting the business.manage scope — a Google-defined permission that grants the holder broad ability to read and modify any Google Business Profile to which your Google Account has owner or manager-level access.
What happens when you connect your Google Account
- You are redirected to Google to review and approve the requested permission scope
- If you approve, Google issues an authorization credential to GBP Autopilot
- GBP Autopilot stores the credential using AES-256-GCM envelope encryption
- You are returned to a confirmation page on gbpautopilot.com — there is no account dashboard or customer portal at this time
- The email address you submitted for your Audit Report (if applicable) is associated with the stored authorization
What does NOT happen when you connect your Google Account
Important — Current State of the Authorization. As of the Effective Date, when you connect your Google Account:
- GBP Autopilot does not make any API calls to your Google Business Profile on your behalf. Your stored authorization is held for future use when the Manage Tier becomes available to you.
- You are not enrolled in any paid service, subscribed to any plan, or charged any fee. Enrolling in the Manage Tier when it becomes available will require a separate, affirmative action by you (including, when applicable, providing payment information).
- We do not publish, modify, delete, or otherwise act on any content within your Google Business Profile during this pre-launch period.
By connecting your Google Account, you prospectively appoint GBP Autopilot as your authorized agent for purposes of acting on your behalf with respect to your Google Business Profile when the Manage Tier becomes available to your account and you affirmatively enroll. The scope of this agency and the conditions under which it activates are described in Section 4.
Revocation of Authorization
You may revoke your authorization at any time by either:
- Visiting myaccount.google.com → Security → Third-party apps with account access and removing GBP Autopilot's access, or
- Emailing security@gbpautopilot.com from the email address associated with your authorization and requesting deletion
Upon revocation through either method, we will delete the stored authorization credential from our active systems within thirty (30) days. Encrypted backup copies may persist for up to ninety (90) days for disaster-recovery purposes before being purged on standard retention schedules. Revocation has no effect on your access to the free Audit Report and does not require any further action by you.
2.3 Future Services — Launch Tier and Manage Tier
Future Service — Not Yet Available. The remainder of this Section 2.3, and any other Section of these Terms designated as governing the Launch Tier or Manage Tier, describes services GBP Autopilot is building but has not yet launched. As of the Effective Date, no Customer has access to either tier, no charges are being made, no API calls are being made on any user's behalf, and no Google Business Profile is being managed. These provisions take effect with respect to your account only when those services are made available to your account and you affirmatively enroll.
2.3.1 Manage Tier (Subscription)
When made available, the Manage Tier will be an ongoing subscription service authorizing GBP Autopilot to act as your agent to perform functions on your Google Business Profile, subject to settings you control. Planned functions include:
- Generating responses to customer reviews and publishing them subject to your selected mode (approval queue or auto-respond)
- Generating posts (updates, offers, and events) and publishing them subject to schedule and approval settings
- Monitoring the Listing for unauthorized changes, with optional automatic reversion to a baseline (see Section 12)
- Managing business hours, including special and holiday hours
- Uploading and managing photos
- Monitoring and responding to public questions and answers
- Multi-location management
- Approval-queue workflow
Planned Manage Tier pricing at launch:
- Founding Member — $19/month, locked at this rate for Customers who enroll while the Founding Member tier is publicly available
- Solo — $29/month, single location
- Growth — $59/month, up to three (3) locations
- Agency — $149/month, up to ten (10) locations, with additional locations available at $15/month each
The Manage Tier will be subject to the billing, subscription, cancellation, and refund provisions in Section 9.
2.3.2 Launch Tier (One-Time Fee)
When made available, the Launch Tier will be a paid one-time service for businesses that do not yet have a claimed, verified Google Business Profile. Planned Launch Tier pricing at launch: $49 to claim an unclaimed existing listing; $79 to create a new listing.
Under the Launch Tier when available, you will authorize us through your previously-granted Google OAuth authorization to act as your agent to create or claim your Google Business Profile and to populate it with AI-generated content based on information you provide. Verification timelines, postcard delivery, video verification approvals, and ownership transfer outcomes are controlled by Google and are outside our control. We do not guarantee verification within any specific timeframe or that Google will approve your verification.
Launch Tier refund policy at launch is set out in Section 9.
3. Eligibility and Account Status
3.1 Eligibility
To use the Services, you must be at least eighteen (18) years old and have the legal authority to bind the business whose Google Business Profile you audit or connect. If you are acting on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you individually and that entity.
3.2 Current Account Status
As of the Effective Date, GBP Autopilot does not operate a customer login system, dashboard, or account portal. Your “account” with GBP Autopilot, to the extent one exists, consists of:
- The email address you submitted for your Audit Report (if applicable), and
- Your stored Google Account authorization (if you have connected your Google Account)
You are responsible for the accuracy of the email address you provide and for keeping us informed of any changes by emailing support@gbpautopilot.com.
3.3 Future Customer Accounts (Future Service)
Future Service — Manage Tier. When the Manage Tier launches, enrolling will require creating a Customer account secured by login credentials. You will be responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@gbpautopilot.com if you suspect any unauthorized access. We will not be liable for losses arising from unauthorized access caused by your failure to safeguard your credentials.
4. Google OAuth Authorization and Agency Relationship
This Section 4 is critical. Please read it carefully.
4.1 What Access We Request
To provide the Manage Tier and Launch Tier Services when they become available, we require you to authorize us through Google OAuth 2.0 to access your Google Account with the business.manage scope (or any successor scope Google requires). This scope grants the holder the ability to read and modify any Google Business Profile to which your Google Account has owner or manager-level access.
4.2 Your Authorization and Our Agency
By granting OAuth access, you appoint GBP Autopilot as your authorized agent to act on your behalf with respect to your Google Business Profile or Profiles, conditional on the activation criteria in Section 4.3 below. The scope of this agency, when active, includes the authority to:
- Read all information Google makes available about your Listing, including reviews, questions, performance metrics, and listing fields
- Publish replies to reviews, posts, answers, photo uploads, business information edits, hours updates, and other changes
- Receive notifications and communications from Google directed to the Listing's owners or managers
- Take any other action that Google's Business Profile API permits an authorized manager to take
You represent and warrant that you have full legal authority to grant this agency on behalf of the business associated with the Listing.
4.3 Activation of Agency Authority
Your agency authorization is granted prospectively and activates only as follows:
- As of the Effective Date and during the pre-launch period, your agency authorization is held but not exercised. GBP Autopilot stores your OAuth credential and does not make API calls on your behalf, does not publish any content to your Listing, and does not modify your Listing in any way.
- When the Manage Tier becomes available to your account and you affirmatively enroll (which will require a separate action including, when applicable, providing payment information), your agency authorization activates with respect to the Manage Tier functions you have enabled.
- When the Launch Tier becomes available and you affirmatively elect to have GBP Autopilot create or claim a listing on your behalf, your agency authorization activates for purposes of that creation or claim.
You may revoke your authorization at any time before or after activation, as described in Section 4.5.
4.4 Compliance with Google's Terms
Your use of the Services is subject to Google's Terms of Service, Google Business Profile Terms of Service, Google APIs Terms of Service, and any policies applicable to the Business Profile API (collectively, “Google Terms”). You are responsible for complying with the Google Terms. Conduct that violates the Google Terms may result in Google suspending your Listing or revoking our API access — outcomes outside our control. You agree not to use the Services in any manner that would violate the Google Terms.
4.5 Revocation of Access
You may revoke our access at any time by following the procedure described in Section 2.2. Revocation immediately terminates our authority to act on your behalf with respect to your Google Business Profile, regardless of whether the Manage Tier has been activated for your account.
Revoking OAuth access does not automatically cancel a Manage Tier Subscription once that service is available. To cancel a Subscription when the Manage Tier launches, you must follow the procedure described in Section 9.4.
4.6 Token Security
We store OAuth credentials using AES-256-GCM envelope encryption and limit token access to the minimum personnel and processes required to provide the Services. Despite these measures, no security system is impenetrable. In the event of a confirmed credential breach, we will notify affected users in accordance with applicable law and our incident response procedures.
5. AI-Generated Content
This Section 5 is critical. Please read it carefully.
5.1 AI Content in the Audit Report (Currently Available)
The Audit Report is generated by artificial intelligence models operated by third parties, currently Anthropic, PBC (“Anthropic”). GBP Autopilot is not the developer of these models and does not control their underlying behavior. The accuracy, appropriateness, and quality of the Audit Report depend on factors including the publicly available data we collect, the inputs you provide, the state of the model at the time of generation, and the inherent limitations of generative AI.
The Audit Report may contain errors, fabrications, outdated information, factual inaccuracies, or recommendations that are inappropriate or inadvisable for your specific business. You acknowledge and agree that:
- The Audit Report is generated by predictive models and is not the product of human professional judgment
- We do not warrant that the Audit Report is accurate, complete, appropriate, fit for a particular purpose, or free from errors
- The Audit Report does not constitute legal, financial, medical, professional, or business advice
- You are solely responsible for reviewing the Audit Report and determining whether to act on any of its recommendations
- Any business decision you make based on the Audit Report is your decision, taken at your sole risk
5.2 AI Content in the Manage Tier (Future Service)
Future Service — Manage Tier. The following provisions apply to AI Content generated under the Manage Tier when that service becomes available to your account and you affirmatively enroll. They do not apply to the Audit Report described in Section 5.1.
When the Manage Tier becomes available, the Services may generate AI Content for publication to your Google Business Profile, including responses to customer reviews, posts, photo captions, and answers to public questions. AI Content under the Manage Tier may operate in either:
- Approval Queue mode, in which AI Content is held until you affirmatively approve, edit, or skip it, or
- Auto-Respond mode, in which AI Content is published automatically to your Listing after a randomized delay
You may select Auto-Respond mode only with the express understanding that AI Content will be published publicly on your behalf without your prior review. If you select Auto-Respond mode, you accept the risk that AI Content may be published that you find inaccurate, inappropriate, embarrassing, or harmful to your reputation. Your selection of Auto-Respond mode constitutes your authorization for us to publish AI Content on your behalf under that mode.
Escalation Routing. As a feature of the Manage Tier, we plan to route certain reviews to the Approval Queue regardless of your mode selection — for example, reviews with a one-star rating or that contain certain keywords (such as “lawsuit,” “attorney,” “court,” “refund,” “chargeback,” or “negligence”). This routing is a discretionary product feature, not a guarantee or warranty. The keyword lists and routing logic may change at any time without notice. We do not represent that this feature will catch every sensitive review, every legal threat, or every situation that warrants human review. You remain responsible for monitoring your Listing and for any AI Content published on your behalf, regardless of whether the escalation feature did or did not flag a particular review.
Your Responsibility for Published AI Content. When AI Content is published to your Listing under the Manage Tier — whether automatically or after your approval — it appears as if you (the business owner) wrote it, and it carries all of the legal, reputational, and operational consequences of your own statements. You are solely responsible for any AI Content published on your behalf, including any claims, representations, or statements it contains. We disclaim all liability for the publication, content, or consequences of AI Content to the maximum extent permitted by law.
5.3 Data Sent to AI Providers
To generate AI Content (whether for the Audit Report today or for the Manage Tier in the future), we transmit certain information to our AI providers, including publicly available business information, your knowledge base content (when applicable in the future Manage Tier), and (in the future Manage Tier) portions of review text. Review text may include statements made by your customers about your business.
You represent that you have the right to share information you provide to us with our AI providers for these purposes. Our AI providers' use of this data is governed by their own terms; for Anthropic, see anthropic.com/legal.
6. Customer Content and Data
6.1 Ownership
You retain all ownership rights in your Customer Content. We do not claim ownership of your business information, knowledge base, photos, or other materials you provide.
6.2 License to Operate the Services
You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, copy, transmit, display, modify, and create derivative works of your Customer Content solely as necessary to provide and improve the Services, including:
- Generating, hosting, and delivering the Audit Report
- (Future) Transmitting Customer Content to Google's APIs to perform actions on your Listing once the Manage Tier or Launch Tier is active for your account
- Transmitting relevant portions of Customer Content to our AI providers to generate AI Content
- Storing Customer Content for the duration of your relationship with us and for a reasonable retention period after termination
- Using aggregated and de-identified data derived from Customer Content to operate, evaluate, and improve the Services
6.3 Listing Data
Data on your Google Business Profile — including reviews left by your customers, performance metrics from Google, and other information Google exposes through its APIs — belongs to Google and the individuals who created it, subject to the Google Terms. When the Manage Tier or Launch Tier is active for your account, we will process this data on your behalf as your authorized agent.
6.4 Future Knowledge Base Inputs
Future Service — Manage Tier. When the Manage Tier launches, you may provide knowledge base entries describing your services, pricing, hours, policies, and brand voice for use in AI Content generation. You represent that the information you provide is accurate and that we may rely on it to generate AI Content. Outdated or inaccurate knowledge base entries will produce AI Content that reflects those inaccuracies, and we disclaim any liability for AI Content that is inaccurate because of your knowledge base inputs.
7. Acceptable Use
You agree not to use the Services to:
- Violate any law, regulation, or third-party right
- Violate the Google Terms or any other applicable terms of service of a third-party platform
- Misrepresent your identity, your business, your affiliation with any person or organization, or your ownership of or authority to manage any Google Business Profile
- Connect a Google Account that is not authorized to manage the Listing you intend to manage
- Submit Audit Reports for businesses you do not own or are not authorized to represent in a manner that overburdens our infrastructure or attempts to extract data en masse
- Publish content (through Future Services) that is false, defamatory, threatening, harassing, obscene, fraudulent, or designed to deceive Google's search systems
- Attempt to manipulate review responses to retaliate against reviewers, dox reviewers, or threaten reviewers with legal action
- Submit fake reviews to your own or any other Listing using the Services or any other tool
- Reverse-engineer, decompile, or attempt to derive the source code of the Services, except to the extent this prohibition is unenforceable under applicable law
- Probe, scan, or test the vulnerability of the Services or attempt to circumvent our security controls
- Use the Services to harm minors in any way, or to facilitate human trafficking, harassment, or violence
- Use the Services in any way that could damage, disable, overburden, or impair our infrastructure or interfere with another user's use of the Services
- (Future) Resell, sublicense, or provide the Services as a service bureau to third parties without our prior written consent, other than as expressly permitted under a future Agency tier
- Use the Services in connection with any business that violates Google's prohibited and restricted content policies for Business Profile
Violation of this Section 7 may result in immediate suspension or termination of your access to the Services and revocation of any stored authorizations, with or without refund, at our sole discretion.
8. Free Trial (Future Service)
Future Service — Manage Tier. This Section 8 takes effect with respect to your account only when the Manage Tier is made available to your account.
We may offer a fourteen (14) day free trial of the Manage Tier when that service launches. The free trial will not require a credit card. At the end of the trial period, the Services will not automatically charge you; you must affirmatively provide payment information and select a plan to continue using the Manage Tier. Trial accounts that do not convert may be deactivated, and Customer Content associated with deactivated trial accounts may be deleted after a reasonable retention period.
We reserve the right to limit free trials to one (1) per business and to refuse, modify, or discontinue trial offers at any time without notice.
9. Fees, Billing, Subscriptions, and Refunds (Future Service)
Future Service — Manage Tier and Launch Tier. This Section 9 takes effect with respect to your account only when the Manage Tier or Launch Tier (as applicable) is made available to your account. As of the Effective Date, no fees are being charged to any user.
9.1 Stripe as Payment Processor
When billing activates, all payments will be processed by Stripe, Inc. (“Stripe”). When you provide payment information, you will provide it to Stripe and not to us; we do not store full payment card numbers on our systems. Your use of Stripe will be subject to Stripe's own terms of service available at stripe.com/legal. By providing payment information, you will authorize us to charge the payment method on file for all fees owed under your Subscription, including recurring monthly fees and any applicable taxes.
9.2 Subscription Fees and Auto-Renewal
Manage Tier Subscriptions will be billed in advance on a monthly basis. Your Subscription will automatically renew each month at the then-current rate for your plan unless you cancel before the renewal date. Founding Member pricing will be locked at $19/month for as long as you maintain continuous Subscription billing under that plan; lapsing your Subscription forfeits the Founding Member rate, and re-enrollment will be at then-current standard pricing.
9.3 Price Changes
We may change Subscription fees at any time. We will provide at least thirty (30) days' advance notice of any price increase that affects your Subscription, sent to the email address on your account. Continued use of the Services after the notice period constitutes acceptance of the new fees. Founding Member pricing is exempt from this section and is governed by Section 9.2.
9.4 Cancellation
You may cancel your Subscription at any time through your account settings or by emailing support@gbpautopilot.com. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Services through the end of the period you have paid for, and your Subscription will not renew. Cancellation does not automatically revoke our OAuth access; you should also revoke OAuth access through your Google Account settings if you wish to terminate Google API access immediately.
9.5 Refunds
Manage Tier Subscription fees are non-refundable. We do not provide refunds or credits for partial months, unused features, or service disruptions, except as expressly stated in these Terms or as required by applicable law. We may, in our sole discretion, issue refunds or credits as a customer-service gesture; doing so does not obligate us to do so in the future.
Launch Tier fees will be refundable up to the moment we initiate a creation or claim action with the Google Business Profile API on your behalf. After that moment, Launch Tier fees become non-refundable.
9.6 Taxes
Fees stated on our website will be exclusive of taxes, levies, or duties. You will be responsible for paying all applicable taxes associated with your use of the Services other than taxes based on our net income.
9.7 Failed Payments
If a payment fails, we may retry the charge, suspend your Subscription, or terminate your account. Suspension will not relieve you of the obligation to pay accrued fees, and we may engage collection efforts for unpaid amounts.
10. Google API Dependency and Third-Party Services
10.1 Dependency on Google
The Services depend on access to the Google Places API (for the Audit Report) and, when the Manage Tier and Launch Tier launch, the Google Business Profile API. Google may, at any time and without notice to us or to you:
- Modify, deprecate, or restrict any API endpoint or capability we rely on
- Change the scopes available to applications like ours
- Suspend or revoke our API access
- Modify the Listing data or fields available to authorized managers
- Change verification procedures, timelines, or requirements
- Apply rate limits or quotas
Functionality of the Services may degrade, become unavailable, change, or never launch in the case of a Future Service as a result of Google's actions. We disclaim any liability for such changes and for any consequences they have on your use of the Services. We will use commercially reasonable efforts to communicate material API changes that affect user-facing functionality, but we make no promise as to the timing or completeness of such communications.
10.2 Other Third-Party Services
The Services rely on additional third-party providers, including Anthropic (AI models), Postmark (email delivery), Cloudflare (content delivery), Neon (database hosting), Railway and Vercel (application hosting), Upstash (caching and queuing), Serper.dev (search data), and, when applicable in the future, Stripe (payments). Outages, errors, or policy changes at any of these providers may interrupt or affect the Services, and we are not liable for downstream effects of third-party provider issues, except as expressly stated in these Terms.
11. No Guarantee of Results
We make no representation, warranty, or guarantee that use of the Services — including the Audit Report, the Google Account authorization, or any future Manage Tier or Launch Tier function — will improve your Google Business Profile's search ranking, increase your visibility in Google's local map pack or other search surfaces, increase your review count, increase your call volume, increase your customer acquisition, generate any specific business outcome, or produce any other measurable benefit.
Google's ranking algorithms are proprietary, frequently updated, and influenced by hundreds of factors outside our control, including factors specific to the searcher (location, history, intent) and to your competitors. The Audit Report identifies opportunities for improvement based on publicly available data and AI analysis; acting on those opportunities does not guarantee any outcome. Connecting your Google Account today does not constitute or guarantee any improvement to your Google Business Profile until and unless the Manage Tier becomes available to you and you affirmatively enroll.
The audit score, any health score, recommendations, and any projected impact estimates provided through the Services are estimates and opinions, not promises of result.
12. Listing Change Monitoring and Auto-Revert (Future Service)
Future Service — Manage Tier. This Section 12 takes effect with respect to your account only when the Manage Tier is made available to your account and you enable the listing change monitoring feature.
If you enable the listing health monitor's auto-revert feature in the future Manage Tier, the Services will detect changes to certain Listing fields and revert them to a baseline state when the change appears unauthorized. This feature operates based on snapshots and heuristic rules; it cannot distinguish a malicious change from a legitimate change you made through Google directly without telling us.
You agree that:
- If you make changes to your Listing through Google Business Profile, Google Maps, or any tool other than the Services, those changes may be reverted by the Services with no warning if auto-revert is enabled
- You will use the Services as your primary tool for managing the Listing while auto-revert is enabled, or you will disable auto-revert
- We are not liable for the consequences of reverting a legitimate change you made outside the Services
- Notifications about detected changes are provided as a courtesy and not as a guarantee that every change will be detected or reported
You may disable auto-revert at any time in your account settings. Doing so will not affect detection or notification — only the automatic revert behavior.
13. Intellectual Property
13.1 Our IP
The Services, including the underlying software, design, documentation, Audit Report templates, scoring algorithms, prompt libraries, and all related intellectual property, are and remain the sole property of GBP Autopilot and its licensors. No license, right, or interest in our intellectual property is granted to you except for the limited right to use the Services as described in these Terms. All rights not expressly granted are reserved.
13.2 Your IP
You retain all rights in your Customer Content, subject to the license granted in Section 6.2.
13.3 AI Content IP
To the extent AI Content generated by the Services has any copyright or similar protection, we assign to you all rights, title, and interest in:
- The Audit Report delivered to you, effective on delivery, and
- (Future) AI Content published to your Listing on your behalf, effective on the date such AI Content is published
AI Content not published, or that you decline to publish, remains licensed to us for purposes of operating, evaluating, and improving the Services.
13.4 Feedback
If you provide us with suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without obligation to you.
13.5 Trademark Use
You grant us a limited, revocable license to use your business name and logo for the sole purpose of providing the Services (for example, to identify your business on your Listing when the Manage Tier is active for your account) and, with your consent, for marketing purposes (for example, as a customer logo on our website). You may revoke marketing-purpose use at any time by emailing support@gbpautopilot.com.
14. Privacy
Our collection and use of personal information is described in our Privacy Policy, available at gbpautopilot.com/privacy, which is incorporated into these Terms by reference. Please review it before using the Services.
15. Disclaimers of Warranties
THE SERVICES, INCLUDING THE AUDIT REPORT, THE GOOGLE ACCOUNT AUTHORIZATION FLOW, ALL AI CONTENT, ALL HEALTH SCORES, ALL RECOMMENDATIONS, AND ANY FUTURE SERVICES WHEN ACTIVATED, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GBP AUTOPILOT DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- ANY WARRANTY OF MERCHANTABILITY
- ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE
- ANY WARRANTY OF TITLE OR NON-INFRINGEMENT
- ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE
- ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- ANY WARRANTY THAT AI CONTENT WILL BE ACCURATE, APPROPRIATE, OR SUITABLE FOR ANY PURPOSE
- ANY WARRANTY OF IMPROVED SEARCH RANKING, INCREASED VISIBILITY, INCREASED REVIEWS, OR OTHER BUSINESS OUTCOMES
- ANY WARRANTY THAT THE SERVICES WILL REMAIN COMPATIBLE WITH OR HAVE ACCESS TO GOOGLE'S APIs
- ANY WARRANTY THAT FUTURE SERVICES WILL BE MADE AVAILABLE TO YOUR ACCOUNT OR AT ALL
No advice or information, whether oral or written, obtained from us or through the Services, creates any warranty not expressly stated in these Terms.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any such exclusion is unenforceable in your jurisdiction, the relevant warranties shall be limited in scope and duration to the minimum permitted by law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
16.1 Exclusion of Indirect Damages
GBP AUTOPILOT WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST CUSTOMERS, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, REPUTATIONAL HARM, LOSS OF DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF GBP AUTOPILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.2 Cap on Direct Damages
GBP AUTOPILOT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, IS LIMITED TO THE GREATER OF (A) FIFTY DOLLARS ($50) OR (B) THE TOTAL FEES YOU PAID TO GBP AUTOPILOT IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Notice regarding the pre-launch period: As of the Effective Date, no Customer has paid any fee to GBP Autopilot. Therefore, the cap on direct damages currently in effect for all users is the $50 floor described above. This floor will continue to apply where it produces a higher figure than three months of fees paid.
16.3 Basis of the Bargain
You acknowledge that the disclaimers and limitations in Sections 15 and 16 are an essential basis of the bargain between you and GBP Autopilot and that, without them, the Services would not be available on the terms offered. These limitations apply even if a remedy stated in these Terms fails of its essential purpose.
16.4 Jurisdictional Limits
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any such limitation is unenforceable in your jurisdiction, our liability is limited to the maximum extent permitted by applicable law.
17. Indemnification
17.1 Your Indemnification of Us
You will defend, indemnify, and hold harmless GBP Autopilot and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your Customer Content, your knowledge base inputs (in the future Manage Tier), or any AI Content published to your Listing on your behalf (in the future Manage Tier)
- Your breach of these Terms, including any representation or warranty you make in these Terms
- Your violation of any law, regulation, or third-party right, including the Google Terms
- Any dispute between you and a reviewer, a customer, a third party, or Google
- (Future) Your failure to review AI Content published through Auto-Respond mode
17.2 Our Indemnification of You
We will defend you against any third-party claim alleging that the Services, as provided by us and used by you in accordance with these Terms, infringe a third party's United States patent, copyright, or trademark, and we will pay the damages and reasonable attorneys' fees finally awarded against you on such a claim or agreed in settlement. Our obligation under this Section 17.2 does not apply to claims arising from (a) Customer Content, (b) AI Content (which is covered by Section 5), (c) your use of the Services in combination with anything not provided by us, (d) your use of the Services in violation of these Terms or the Google Terms, or (e) modifications to the Services not made by us.
17.3 Procedure
The indemnified party must (a) promptly notify the indemnifying party of the claim in writing, (b) give the indemnifying party sole control of the defense and settlement (provided no settlement requires admission of liability by, or imposes obligation on, the indemnified party without its consent), and (c) reasonably cooperate in the defense.
18. Termination
18.1 Termination by You
The procedure for ending your relationship with GBP Autopilot depends on what services you are using:
- If you have only received an Audit Report: there is no ongoing relationship to terminate. You may opt out of follow-up communications at any time using the unsubscribe link in any of our emails. You may request deletion of your email address from our records at any time by emailing privacy@gbpautopilot.com.
- If you have connected your Google Account: you may revoke your authorization at any time as described in Sections 2.2 and 4.5. Your stored OAuth credential will be deleted from our active systems within thirty (30) days of revocation. Encrypted backup copies may persist for up to ninety (90) days for disaster-recovery purposes before being purged on standard retention schedules.
- If you have enrolled in the Manage Tier (when available): you may cancel your Subscription at any time as described in Section 9.4. Cancellation will take effect at the end of your current billing period.
18.2 Termination by Us
We may suspend or terminate your access to the Services, with or without notice, if:
- You materially breach these Terms
- (Future) Your payment method fails and is not corrected within a reasonable time
- We are required to do so by law, court order, or governmental authority
- Google revokes our API access or restricts our ability to serve you
- We reasonably determine that your use of the Services creates legal, financial, or reputational risk to us
- We discontinue the Services or the relevant tier (with reasonable advance notice where practicable)
18.3 Effect of Termination
On termination, your right to use the Services ceases immediately. We will retain Customer Content for a reasonable period after termination (typically thirty (30) days for OAuth-only users and ninety (90) days for Manage Tier subscribers, when that tier launches) to allow you to retrieve it, after which we may delete it in accordance with our data retention practices. Termination does not entitle you to a refund of any fees already paid except as expressly stated in these Terms.
18.4 Survival
Sections that by their nature should survive termination — including Sections 5 (AI-Generated Content), 6 (Customer Content), 13 (Intellectual Property), 15 (Disclaimers), 16 (Limitation of Liability), 17 (Indemnification), 18.4 (Survival), 21 (Governing Law and Dispute Resolution), and 22 (General Provisions) — survive any termination of these Terms.
19. Modifications to the Services
We may modify, add, suspend, or remove features of the Services at any time. We will use commercially reasonable efforts to notify you of material changes that adversely affect your use of a paid tier, but we are not obligated to do so for changes driven by Google API restrictions or other third-party constraints outside our control.
We may also, at our sole discretion, delay, modify, or decline to launch any of the Future Services described in these Terms. No statement in these Terms about Future Services constitutes a binding commitment to make those services available. Your continued use of the Services after a change constitutes acceptance of the change.
20. Modifications to These Terms
We may modify these Terms at any time. If we make a material change, we will provide notice by email to the address on your account or by posting prominent notice within the Services at least thirty (30) days before the change takes effect, except where a shorter period is required by law or to address a security or legal risk. Continued use of the Services after the effective date of a modification constitutes acceptance. If you do not agree to a modification, your sole remedy is to terminate your account before the modification takes effect.
21. Governing Law, Arbitration, and Class Action Waiver
21.1 Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
21.2 Informal Dispute Resolution
Before filing arbitration, you agree to attempt to resolve any dispute by sending a written notice to legal@gbpautopilot.com describing the dispute and the relief sought. We will attempt in good faith to resolve the dispute within sixty (60) days of receipt. You may initiate arbitration only after the sixty-day period has expired without resolution.
21.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) will be resolved by binding arbitration, except as set out in Section 21.6 below.
The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Arbitration Rules if you are a business that is not an individual consumer), as modified by these Terms. Arbitration will take place in Oklahoma County, Oklahoma, or, at your election if you are an individual consumer, in your county of residence or by video. A single arbitrator will decide the Dispute.
The arbitrator's award is binding and final and may be entered as a judgment in any court of competent jurisdiction. The arbitrator has the same authority to award relief on an individual basis as a court would have; the arbitrator may not award relief that affects any person other than you and us.
21.4 Class Action Waiver
You and GBP Autopilot each agree that any Dispute will be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
If this class action waiver is found unenforceable as to a particular claim or remedy, that claim or remedy (and only that claim or remedy) will be severed from arbitration and brought in a court of competent jurisdiction in Oklahoma County, Oklahoma, while the remaining claims proceed in arbitration.
21.5 30-Day Right to Opt Out of Arbitration
You may opt out of Sections 21.3 and 21.4 by sending a written opt-out notice to legal@gbpautopilot.com within thirty (30) days of your first acceptance of these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms. If you opt out, Disputes will be resolved in the state and federal courts located in Oklahoma County, Oklahoma, and you and we consent to the personal jurisdiction of those courts.
21.6 Exceptions
The following are not subject to arbitration: (a) claims that may be brought in small claims court if they qualify, and (b) actions seeking injunctive or other equitable relief to stop unauthorized use or abuse of the Services or to protect intellectual property rights.
21.7 Statute of Limitations
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the cause of action arose, except as may be required by applicable law. Otherwise, the claim is permanently barred.
22. General Provisions
22.1 Entire Agreement
These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and GBP Autopilot with respect to the Services and supersede any prior agreements, communications, or understandings.
22.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
22.3 No Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
22.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or by operation of law, without your consent.
22.5 Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labor disputes, internet or telecommunications failures, third-party service provider failures, or pandemic.
22.6 Notices
We may give notices to you by email to the address on your account or by posting within the Services. You must give notices to us at legal@gbpautopilot.com for legal matters and support@gbpautopilot.com for account or service matters.
22.7 Relationship
You and GBP Autopilot are independent contractors. Nothing in these Terms creates a partnership, joint venture, franchise, employer-employee, or general agency relationship between you and us, except for the specific, conditional agency you grant us to manage your Google Business Profile as described in Section 4.
22.8 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that Anthropic, Google, and other third-party providers may be entitled to enforce the limitations on their liability and on use of their services to the extent specified in these Terms or in their own terms.
22.9 Headings
Section headings are for convenience only and do not affect interpretation.
22.10 Electronic Communications
You consent to receive communications from us electronically. Electronic notices satisfy any legal requirement that a notice be in writing.
